Overview

Francesca Y. Oliveira is an associate in Nutter’s Corporate and Transactions Department. Francesca assists companies on a broad range of issues, including formation, mergers and acquisitions, and venture capital and angel financing transactions.

Prior to joining Nutter, Francesca was a research assistant at the Tech, Law & Security Program at American University Washington College of Law. She interned with the U.S. Department of Health and Human Services (HHS) and the National Association of Waterfront Employers (NAWE). Earlier in her career, Francesca advised transportation clients in her role as a consultant at Booz Allen. She also interned with Sen. Robert Menendez and at the Federal Communications Commission (FCC).

During law school, Francesca was the managing editor of the American University Business Law Review and a senior staffer of the National Security Law Brief. She also was a student attorney in the Defense Division of the Criminal Justice Clinic.

    Nutter advised Agilyx Corporation and its parent company Agilyx ASA (OSE: AGLX; OTCQX: AGXXF) in connection with the U.S. portion of a successful placement of a senior secured green bond issue of $50 million (USD).

  • City Point Partners

    Nutter advised City Point Partners, a construction support services firm, in connection with its acquisition by HDR, a design firm specializing in engineering, architecture, environmental, and construction services. 

  • Collaborating Docs

    Nutter advised Collaborating Docs in connection with a majority investment by TT Capital Partners (“TTCP”). Collaborating Docs matches nurse practitioners (“NPs”) with supervising physicians to facilitate high-quality collaborations, a requirement for NPs to practice independently in 33 states.

  • Complete Health Economics Outcomes Research Solutions (“CHEORS”)

    Nutter advised Complete Health Economics Outcomes Research Solutions (“CHEORS”), a leading provider of health economics and outcomes research (HEOR) and market access services across the pharmaceutical, biotechnology, and medical device industries, in connection with its acquisition by PharmAlliance, a diversified pharmaceutical and life sciences services platform.

  • CRIO

    Nutter served as legal counsel to CRIO, Inc., a leading provider of eSource and other eClinical technologies, in a significant investment from The Riverside Company, a global growth oriented private equity firm.

  • Eastprint Incorporated

    Nutter served as legal counsel to Eastprint Incorporated, a printed electronics solutions provider, in connection with its acquisition by East West Manufacturing, LLC, an integrated design, engineering, manufacturing, and distribution services partner for original equipment manufacturers and distributors throughout North America and Europe.

  • LifeYield

    Nutter advised LifeYield, a Boston-based, tax-smart technology provider, in connection with its acquisition by SEI® (NASDAQ: SEIC).

  • RIND Snacks

    Nutter advised RIND Snacks, a sustainable snack brand, in connection with its acquisition of Small Batch Organics, a Vermont-based manufacturer of award-winning granola product.

  • Ryan Building Products, Inc.

    Nutter represented Ryan Building Products, Inc. in its sale to Beacon Building Products, Inc., the largest publicly traded distributor of roofing materials and complementary building products in the United States and Canada.

  • Verista

    Nutter advised Verista, a leading business and technology consultancy firm, in connection with its acquisition of ILB Enterprises.
