Understanding the Economics and Types of Early-Stage Investment into CPG Companies

Jeremy Halpern, co-chair of Nutter’s Emerging Companies Group and co-lead of the firm’s Food and Beverage group, will lead an interactive workshop on February 27. During the event, Jeremy will discuss the economics of equity ownership, the mechanics of dilution from outside investment, and how to use capitalization tables as a planning tool. The workshop will cover the use of convertible notes and how they differ from traditional priced equity investments, as well as some of the features uniquely available to CPG companies. The workshop will also cover pre-money valuation, fully diluted equity calculations, the impact of equity pools, anti-dilution adjustments, the use of vesting, the impact of down-rounds, liquidation preferences, participation features, and other key terms that entrepreneurs should understand before engaging with sophisticated investors.
