Nutter Expands Corporate and Transactions Practice with Arrival of Four Veteran Lawyers

Boston – Nutter announced today that three partners and an of counsel with significant experience in corporate and securities law have joined the firm’s Corporate and Transactions Department.
The additions of Michael E. Kushnir, Shannon S. Zollo, and Jonathan M. Calla as partners, and Joshua E. French as of counsel strengthen the firm’s capabilities in a wide range of transactions and business matters, including mergers and acquisitions, private equity and venture capital financing, corporate governance, and formation and operational issues. Zollo will serve as chair of the firm’s Mergers and Acquisitions practice group.

The additions to the Nutter team come on the heels of the recent arrivals of seven veteran lawyers spanning leading practice areas across the firm. Matthew Doring joined the firm as partner in the Commercial Finance group, and was recently named deputy chair of the Corporate and Transactions Department. Partners Tom Curry and Jason Cabral joined the firm’s Banking and Financial Services group, of which Curry is a co-leader. Seth Berman joined as a partner and leader of the firm’s Privacy and Data Security group, and member of the White Collar Defense practice group. Of Counsel Jennifer Sacco Smith and Mark McCarthy bring additional expertise to the firm’s Real Estate Department, and Of Counsel Mark Jensen joined Nutter’s Litigation Department, augmenting the firm’s Securities Enforcement and Litigation practice group with deep experience in securities law.

Michael Kushnir
Kushnir has extensive experience in all aspects of corporate law, including mergers and acquisitions, venture capital and private equity financing, business planning and organization, and business succession planning. He provides legal counsel to early stage and mature companies in a broad range of industries, including technology, software, food service and hospitality, manufacturing, retailing, and professional services. Kushnir often represents clients in partnership and joint venture agreements, licensing and contracting matters, shareholder agreements and arrangements, employment contracts, and stock plan design. He earned his law degree from Northeastern University School of Law and his undergraduate degree, cum laude, from Brandeis University.
Shannon Zollo
Zollo advises clients on a wide range of corporate matters, including mergers and acquisitions, private equity, venture capital, executive compensation, and corporate governance. He is the co-founder of Exit Planning Exchange (XPX), a multi-disciplinary community of professional advisors who help owners build and transition the value of their businesses, and a member of the board of directors of the TB12 Foundation, LLC, a non-profit organization formed by Tom Brady that is dedicated to maximizing the health, well-being, and athletic potential of elite young American amateur athletes. Zollo is a member of ACG Boston. He earned his law degree from Northeastern University School of Law and his undergraduate degree from Brigham Young University.
Jonathan Calla
Calla has extensive experience in corporate and securities law, with a focus on mergers and acquisitions, private equity, venture capital, and angel financing transactions. He frequently counsels privately-held emerging and middle-market companies, often serving as their outside general counsel. As an M&A lawyer, Calla routinely handles buy-side and sell-side engagements. He earned his law degree from the University of Toronto and his undergraduate degree from Northeastern University.
Joshua French
French focuses his practice on advising clients in mergers and acquisitions, debt and equity finance, corporate governance, and incorporation. He has extensive experience advising privately-held emerging and middle-market companies on navigating corporate formation, fundraising, and liquidity events. French has served as a judge of the Venture Capital Investment Competition and presented on financing, corporate law, and equity at TiE ScaleUp and TechSandbox. He earned his law degree, magna cum laude, from Boston College Law School and his undergraduate degree from Duke University.
