Nutter Strengthens its Business Practices With Addition of Bankruptcy and Tax Partners

Nutter announced today that Andrew V. Tenzer and Scott M. Masaitis have joined the Firm as partners in the Bankruptcy, Restructuring and Workout practice group and Tax Department, respectively, in the Firm’s New York office. Tenzer joins Nutter from Paul Hastings LLP, where he was a partner in the Financial Restructuring group. Masaitis joins the Firm from KPMG LLP, where he was the Leader of the National M&A Strategic Tax practice.

Tenzer’s practice is focused on advising lenders, troubled companies, and buyers and sellers of distressed assets in Chapter 11 reorganization and in out-of-court and cross-border restructurings. In addition, Tenzer represents clients with respect to non-insolvency related syndicated financings, securitizations, and structured finance transactions. He represents clients in a wide range of industries, including financial services, technology, manufacturing, energy, and retailing.

A respected industry leader, Tenzer is a member of the American Bar Association and the Association of Commercial Finance Attorneys. He earned his J.D. from Fordham University School of Law and his B.A. from Harvard University.

Nutter’s Bankruptcy, Restructuring and Workout practice group advises lenders, borrowers, guarantors, debtors, and unsecured creditors in formulating strategies and negotiating agreements to facilitate the reworking of distressed assets or the collection of debts. The team also helps distressed companies prepare and navigate insolvency challenges.

Masaitis has 25 years of experience in advising clients on complex tax matters. At Nutter, he will counsel clients on domestic corporate tax, tax structuring, tax due diligence, cross-border transactions, tax modeling, tax efficient financing, consolidated group issues, and international taxation. Masaitis also will work with clients in structuring tax-efficient transactions, analyzing merger agreements, providing tax opinions in connection with transactions, and managing various technical tax issues related to C corporations, S corporations, partnerships, and limited liability companies. In addition, Masaitis will provide legal advice to Firm clients on significant transactions involving inbound and outbound international taxation.

Masaitis has authored numerous articles for tax-related publications and frequently presents on M&A tax strategies and practices at conferences throughout the United States and Europe. He earned his LL.M. from New York University School of Law, his J.D. from Seton Hall Law School, and his B.S. from the University of Georgia.

“Scott’s significant expertise in advising businesses and financial investors on complex transactional tax matters will augment our team’s deep bench strength in these areas,” said Melissa Sampson McMorrow, chair of the Tax Department. “He has extensive experience in structuring, due diligence, and modeling workstreams, and that experience will benefit our clients in optimizing tax structuring, preserving valuable tax attributes, and mitigating tax risks.”
