Ian Roffman and Seth Berman, partners in Nutter’s Litigation Department, wrote an article that analyzed the Securities and Exchange Commission’s (SEC) aggressive cybersecurity agenda in Security Magazine. In the article, “Year in Review: the SEC and Cybersecurity,” the authors examined the SEC’s past cybersecurity activities and the existing rules the SEC used to pursue its cybersecurity agenda. According to the trio, “The SEC has also made clear that Rules prohibiting insider trading apply in the cybersecurity context. Corporations should institute appropriate restrictions that prevent corporate insiders with knowledge about the company’s cybersecurity risks and incidents from making trades after the discovery of a breach and before public disclosure.”
