Overview

Wendy M. Fiscus is a partner in Nutter's Real Estate Department. She focuses her practice on commercial real estate law. Wendy has extensive experience representing developers in the acquisition, disposition, development and leasing of commercial real estate and lending institutions and borrowers in all aspects of commercial loan transactions. Wendy also represents lenders in bond financing transactions to nonprofit organizations. She regularly advises clients on affordable housing transactions and cannabis lending.

Notable Experience and Client Impact

  • Key role in representation of a national bank in connection with a $33 million loan for the acquisition of fifty bank branch locations in three states
  • Assisted with representation of a national bank in connection with a $40 million loan for the construction of a commercial and hotel condominium and private social club in Nantucket, Massachusetts
  • Counseled real estate lenders on LIBOR replacement issues
  • Representation of a lender in connection with the restructuring of a construction loan for a non-profit entity relating to the settlement of claims by and between the non-profit entity and its contractors
  • Representation of an independent public authority in connection with the acquisition, development and leasing of an intermodal garage facility
  • Representation of a lender in connection with a $10.3 million loan to finance the purchase of a note and related loan documents, including without limitation, a first mortgage on an out-of-state office building
  • Key role in representation of a Commissioner in Partition in connection with the sale of thirty acres of land through a sealed bid process
  • Key role in the representation of a developer in connection with the land acquisition, construction financing and conversion to a forty-unit condominium with ten affordable housing units

A member of the Boston Bar Association and the Real Estate Bar Association of Massachusetts, Wendy is  a member of NAIOP and serves on its Charitable Events Committee. She is a Fellow of the American College of Mortgage Attorneys (ACMA).

During law school she was a senior staff member and lead article editor for the New England Journal on Criminal and Civil Confinement.

  • Phoenix Property Company/Lincoln Property Company

    Nutter represented Lincoln Property Company and Phoenix Property Company in a joint venture with an institutional capital partner in connection with the acquisition of development rights and the permitting and transactional aspects relating to this multi-party mixed-used development. 

    New construction mixed-use development project totaling 499,500 square feet. The project includes a 12-story multi-family apartment building containing approximately 300,000 square feet and 304 first-class rental apartment residences, including 22 on-site affordable units and additional off-site contributions to Boston’s affordable housing stock. Resident amenities include a rooftop pool, Skydeck, gym and wellness studio. The apartment building also contains 22,816 square feet of space that can be used for retail, restaurant and/or office space. The adjacent Hotel Component, located a shared podium, was developed into a 12-story Hyatt Place hotel with 294 rooms. There is a one-level underground parking garage beneath the apartment building and garage that can accommodate up to 450 cars. The mixed-use development is situated on Massport’s “Parcel K” and was constructed pursuant to 3 separate 99-year ground leases entered with Massport.

  • Institution for Savings

    Nutter advised Institution for Savings in Newburyport and its Vicinity, a Massachusetts-chartered mutual savings bank, in its acquisition of Rockport National Bancorp, Inc. (OTCQB: RPOR) and its wholly-owned subsidiary Rockport National Bank, a national bank, in an all-cash transaction valued at approximately $28.3 million.

  • Bank of New Hampshire

    Nutter advised Bank of New Hampshire and its parent BNH Financial, a mutual holding company, in their acquisition of Community Guaranty Corporation and its wholly-owned subsidiary Community Guaranty Savings Bank, a New Hampshire guaranty savings bank. The combined entity has approximately $1.4 billion in assets and 23 branch offices throughout New Hampshire.
