Nutter Advises Shawmut Corporation in Joint Venture with Glen Raven Technical Fabrics LLC
Print PDFBoston – Nutter represented Shawmut Corporation, a developer of high-performance composites, in its joint venture with the automotive headliner and specialty industrial fabrics business of Glen Raven Technical Fabrics LLC, a global provider of innovative technical fabric solutions. Mike Krebs, chair of Nutter’s Corporate and Transactions Department, and Josh Gray led the deal team, which included Steve Patterson, Meghan Kelly and Ellie Myers on corporate matters; Wendy Fiscus, Jennifer Sacco Smith and Jessica Alfano Powell on real estate; Mike Mooney and Erin Whitney on tax; Crescent Moran Chasteen on employee benefits; David Rubin on labor and employment; and Rory Pheiffer on intellectual property.
The transaction fully integrates Shawmut’s market-leading composite development capabilities and global lamination platform with GRTF’s world-class specialty industrial fabrics operation. The combined entity includes all Shawmut locations together with GRTF’s Park Avenue manufacturing operation and its associated specialty industrial fabric product lines. Those products include fabrics for automotive headliner, ultra-lightweight camouflage and netting systems, military apparel, and filtration applications. The combined entity is majority-owned by Shawmut, with GRTF as the minority owner. GRTF is a division of Glen Raven Inc. Both Shawmut and Glen Raven are privately owned. The transaction closed on August 3, 2018.
