Overview

Robert F. Lynch, Jr. is an associate in Nutter’s Corporate and Transactions Department. He focuses his practice on advising businesses on all aspects of general corporate law, and has extensive mergers and acquisitions experience.

Rob regularly advises companies at all stages of their business life cycle, including entity formation, capital raises, financing, acquisitions, and dispositions. He is experienced in drafting and negotiating service agreements, shareholder agreements, and buy/sell agreements. In addition, Rob works closely with clients to develop and implement business succession plans.

Active in the community, Rob serves on the Municipal Broadband Committee for the Town of Milton.

During law school, Rob interned with the Hon. Allison D. Burroughs in the U.S. District Court for the District of Massachusetts. In addition, he interned at a Boston commercial litigation law firm, the Office of House Counsel for the Massachusetts House of Representatives, and the Massachusetts Office of the Inspector General.

Prior to joining Nutter, Rob was a corporate law associate in the Boston office of a New England law firm. He also previously practiced corporate, tax, commercial real estate, and bankruptcy law at boutique New England commercial law firms.

    Nutter served as legal counsel to CRIO, Inc., a leading provider of eSource and other eClinical technologies, in a significant investment from The Riverside Company, a global growth oriented private equity firm.

  • Definiti

    Nutter served as legal counsel to Definiti, a private equity-backed, national leader in the retirement services industry, in connection with its acquisition of Wisconsin-based National Administration, Inc (NAI).

  • Fowler High Precision, Inc.

    Nutter served as legal counsel to Fowler High Precision, Inc., a specialty manufacturer and distributor of dimensional metrology tools, highly engineered systems, and calibration services, in connection with its recapitalization by Pfingsten Partners, LLC.

  • Night Shift Brewing

    Nutter advised Night Shift Brewing in connection with its agreement to be acquired by Hendler Family Brewing Company (HFB). Night Shift will be joining an impressive portfolio of local craft brands including Jack’s Abby and Wormtown to create the largest producer of craft beer in the Commonwealth of Massachusetts. 

  • OpenClinica

    Nutter served as legal counsel to OpenClinica, an industry-leading clinical research solutions provider based in Waltham, MA, in connection with a strategic investment with Thompson Street Capital Partners.

  • Shawmut LLC

    Nutter advised Shawmut LLC, the premier provider of engineered flexible multi-layer materials for automotive, medical and other applications, in connection with its acquisition of long-time warp-knitting supplier, Fairystone Fabrics, by newly formed affiliate, Shawmut Infinite.
