Nutter Advises Commerce Bancshares in Proposed Merger with Berkshire Hills

Nutter is representing Commerce Bancshares Corp. and its subsidiary, Commerce Bank & Trust Company, in its pending merger with Berkshire Hills Bancorp. Inc. (NYSE: BHLB), in an all-stock transaction valued at $209 million. Mike Krebs, chair of Nutter’s Business Department and co-chair of the firm’s Banking and Financial Services practice group, and Joshua Gray, associate in the Business Department, led the deal team, which also included Mike Mooney, chairman and partner in the Tax Department; Elizabeth Norman, partner in the Tax Department; Crescent Moran Chasteen, Of Counsel in the Tax Department; Meghan Kelly, associate in the Business Department; Erin Whitney, associate in the Tax Department; and Jessica Alfano Powell, associate in the Real Estate Department.

Berkshire’s total assets are expected to increase to $12 billion, including the $2.2 billion in acquired Commerce assets. Commerce reported $1.5 billion in loans and $2.0 billion in deposits as of March 31, 2017. This in-footprint merger includes 13 branches in the Worcester area and three branches in Boston, providing the catalyst for Berkshire to move its corporate headquarters to Boston.
