Overview

Nutter has more than 40 years of experience in employee benefits law, forming a deep base of knowledge and expertise in all employment matters. Our attorneys help design and implement benefit programs efficiently and cost-effectively for a broad spectrum of clients in the operation of tax-qualified, non-qualified retirement, health and welfare plans, fringe benefits, and deferred compensation plans for employees and executives.

Our Practice
Our representation also includes all aspects of continuing compliance with both the federal tax code and ERISA, as well as other applicable federal and state laws affecting compensation and employee benefit arrangements, including the Pension Protection Act, the Affordable Care Act, the Massachusetts Health Mandate, and COBRA.

Representative services provided by members of the practice group responsible for ERISA and employee benefit matters include:

  • Advice regarding maintenance of tax-qualified status of 401(a), 401(k), 403(b), 457, and other individual account plans (including traditional and Roth IRAs), defined contribution plans, and defined benefit pension plans
  • Representation of plan sponsors, administrators, and fiduciaries in audit and other proceedings before government agencies, such as the U.S. Department of Labor, Internal Revenue Service, and the Pension Benefit Guaranty Corporation
  • Counseling plan sponsors and trustees regarding fiduciary rules of conduct and the development of best practices for fiduciary decision making
  • Developing and implementing internal audit and self-correction procedures for operational failures, including failures that could adversely affect a plan’s tax qualified status
  • Providing advice regarding the application of the prohibited transaction rules of ERISA and the federal tax code to conduct contemplated or undertaken by fiduciaries and other parties-in-interest
  • Drafting employee communications regarding employee benefits
  • Assisting clients on non-pension matters, including insured and self-insured group health plans, cafeteria/Section 125 plans, flexible spending arrangements, health savings accounts, health reimbursement accounts, long-term care arrangements, and severance plans

    Nutter served as legal counsel to ALM Works, Inc., the developer of software products to empower project managers around the world with visibility and control, in connection with its acquisition by Tempo Software, a leading provider in team time management and productivity-enhancing solutions.

  • Connected Home Care, LLC

    Nutter served as legal counsel to Connected Home Care, LLC, a leading home care provider serving Medicaid, dual-eligible, and private pay clients throughout Eastern Massachusetts, in connection with its acquisition by HouseWorks, LLC, one of the nation’s largest independent home care companies.

  • miEdge

    Nutter served as sole legal advisor to miEdge, the premier provider of lead generation, data analytics, and prospecting solutions specifically designed for the insurance industry, in its acquisition by Zywave, the leading insurtech provider powering agency growth.

  • Globe Composite Solutions, LLC

    Nutter served as legal advisor to Globe Composite Solutions, LLC (Globe), a navy submarine supplier, in its acquisition by ESCO Technologies Inc. (NYSE: ESE), a global provider of highly engineered products and solutions to diverse and growing end-markets that include the aerospace, space, healthcare, wireless, consumer electronics, electric utility, and renewable energy industries. 

  • Veracross LLC

    Represented Veracross LLC, a provider of software and services to independent primary and secondary schools, in its majority recapitalization by BV Investment Partners, a middle-market private equity firm focused on the business services, software, and IT services sectors.

  • Lallemand USA, Inc.

    Nutter represented Lallemand USA, Inc. in its acquisition of the Hutchinson, MN yeast manufacturing operations of Ohly. 

  • Shawmut Corporation

    Nutter represented Shawmut Corporation, a developer of high-performance composites, in its joint venture with the automotive headliner and specialty industrial fabrics business of Glen Raven Technical Fabrics LLC, a global provider of innovative technical fabric solutions.

  • MNB Bancorp

    Nutter advised MNB Bancorp, the parent company of The Milford National Bank and Trust Company, a national bank, both of Milford, Massachusetts, in its acquisition by Independent Bank Corp. (NASDAQ Global Select Market: INDB). Independent is the parent company of Rockland Trust Company. The total value of the transaction was approximately $54 million.

  • Atlas Devices

    Nutter advised Atlas Devices, LLC, a leading developer, manufacturer, and supplier of rapid access solutions, in its recapitalization by Anvil Capital. 

  • OSRAM

    Nutter represented OSRAM, one of the world’s leading lighting manufacturers with headquarters in Munich, Germany, in its acquisition of Digital Lumens Inc., a Boston-based company that specializes in industrial Internet of Things (IoT) solutions.

  • Commerce Bancshares Corp.

    Nutter represented Commerce Bancshares Corp. and its subsidiary, Commerce Bank & Trust Company, in its merger with Berkshire Hills Bancorp. Inc. (NYSE: BHLB), in an all-stock transaction valued at $209 million.

  • Wincove Private Holdings LP

    Nutter advised Wincove Private Holdings, LP, an investment holding company with offices in Boston and New York, when it led a recapitalization of Aloi Solutions, LLC.

  • McCarthy Capital

    Nutter represented McCarthy Capital, a private equity investment firm, when it led a recapitalization and growth equity investment in Seven10 Storage Software, LLC to further accelerate growth.

  • North Middlesex Savings Bank

    Nutter represented North Middlesex Savings Bank in its merger with Marlborough Savings Bank.

  • CIRCOR International, Inc.

    Nutter represented CIRCOR International, Inc. (NYSE: CIR), a leading provider of valves and other highly engineered products for markets including oil and gas, power generation, and aerospace and defense, in its acquisition of Critical Flow Solutions (CFS) for $210 million.

  • Bank of New Hampshire

    Nutter advised Bank of New Hampshire and its parent BNH Financial, a mutual holding company, in their acquisition of Community Guaranty Corporation and its wholly-owned subsidiary Community Guaranty Savings Bank, a New Hampshire guaranty savings bank. The combined entity has approximately $1.4 billion in assets and 23 branch offices throughout New Hampshire.

  • Adams Community Bank

    Nutter advised Adams Community Bank, a mutual savings bank based in Adams, MA, in its acquisition of The Lenox National Bank, a national bank located in Lenox, MA. 

  • Abveris

    Nutter advised Abveris (formally known as AbX Biologics, Inc.), a privately-held in vivo antibody discovery services company, in connection with its acquisition by Twist Bioscience Corporation (NASDAQ: TWST), a leading and rapidly growing synthetic biology and genomics company that has developed a disruptive DNA synthesis platform to industrialize the engineering of biology.

  • Dragonfly Group Inc.

    Nutter served as legal counsel to Dragonfly Group Inc., a technology-enabled platform acquiring and scaling standout e-commerce brands, in a significant, proprietary investment from the Flagship Buyout Fund of L Catterton, the largest global consumer-focused private equity firm.

  • Eastprint Incorporated

    Nutter served as legal counsel to Eastprint Incorporated, a printed electronics solutions provider, in connection with its acquisition by East West Manufacturing, LLC, an integrated design, engineering, manufacturing, and distribution services partner for original equipment manufacturers and distributors throughout North America and Europe.

  • ERISA Litigation and Advice

    Nutter represented retirement plan service providers in multiple ERISA class actions resulting in dismissal or settlement, and advised plan fiduciaries on issues arising in ERISA litigation. 

  • Invoke Solutions, Inc.

    Nutter served as legal counsel to Invoke Solutions, Inc., a research and content testing platform that serves many of the world's top video streaming services and broadcasters, in connection with its acquisition by MarketCast LLC.

  • OpenClinica

    Nutter served as legal counsel to OpenClinica, an industry-leading clinical research solutions provider based in Waltham, MA, in connection with a strategic investment with Thompson Street Capital Partners.

  • REAL Software Systems

    Nutter served as legal counsel to REAL Software Systems in connection with its acquisition by Rightsline, the leading rights and finance management platform for the media and entertainment industry.

  • Redi2 Technologies, Inc.

    Nutter served as legal counsel to Redi2 Technologies, Inc., a leading provider of revenue management and hosted fee-billing solutions in the global financial services industry, in connection with its acquisition by Envestnet.

  • T.F. Boyle Transportation, Inc.

    Nutter served as legal counsel to T.F. Boyle Transportation, Inc. in its acquisition by Toronto-based Andlauer Healthcare Group Inc. (TSX: AND).

  • Ticket Evolution

    Nutter served as legal counsel to Ticket Evolution Inc. (“Ticket Evolution” or the “Company”), an end-to-end software provider for the event ticketing industry, in connection with its acquisition by Clearlake Capital Group, L.P. (together with its affiliates, “Clearlake”) and Clearlake operating advisor Sam Soni.
