Overview
Elizabeth S. Myers is an associate in Nutter’s Corporate and Transactions Department. Clients turn to Ellie for legal counsel on a wide range of matters, including mergers and acquisitions, venture capital and private equity financings, commercial lending transactions, and general corporate governance.
As a member of the Emerging Companies practice group, Ellie represents early-stage companies in all stages of their business life cycle in a variety of industries including food and beverage, life sciences, and information and technology services. She regularly advises clients on initial planning and formation, securing financing from third parties, and realizing business goals. Ellie also represents venture capital, private equity, and angel investors in connection with their investments in operating companies.
In addition, Ellie represents major lending institutions and companies in complex, multi-party financings, agented credit facilities, and capital formation transactions. This area of her practice has a significant emphasis on low-income housing tax credit and mortgage warehouse and investor bridge lines, asset-based/commercial lending, venture capital, and leveraged loans.

- Represented ALM Works, Inc., the developer of software products to empower project managers around the world with visibility and control, in connection with its acquisition by Tempo Software, a leading provider in team time management and productivity-enhancing solutions
- Represented T.F. Boyle Transportation, Inc. in its acquisition by Toronto-based Andlauer Healthcare Group Inc. (TSX: AND)
- Represented Column Health, LLC in connection with its sale to Shore Capital Partners, a Boston-based private equity firm specializing in middle-market health care and food and beverage acquisitions
